Uncluttr — Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the Uncluttr browser extension and any related websites, services, and backend APIs (collectively, the "Service"). The Service is provided by Nair Development Hub SRL ("Uncluttr," "we," "us," or "our").

By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) The Service

Uncluttr is a sidebar-first tab and tab-group manager for Chromium-based browsers. It helps you organize tabs into workspaces and groups, restore workspaces, and optionally use networked features such as sign-in, subscriptions, feedback submission, and AI-assisted grouping.

Some features may be experimental, optional, or available only on certain plans.

2) Eligibility

You must be at least 13 years old (or the minimum age required in your country to consent to online services) to use the Service. If you use paid features, you represent that you are legally able to enter into a contract and make purchases.

3) Accounts and Authentication

Some features require an account and sign-in (for example, AI grouping). You agree to:

  • Provide accurate information during sign-in or checkout where applicable;
  • Comply in case extra billing information is requested (invoice and tax related data only), after the purchase has been made;
  • Maintain the confidentiality of your account credentials and any authentication tokens stored on your device;
  • Notify us promptly if you believe your account has been compromised.

We may suspend or terminate access if we reasonably believe your account is being used fraudulently or in violation of these Terms.

4) License and Acceptable Use

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the extension for your personal or internal business use. This license does not grant ownership of the Services or any underlying technology.

4.2 Restrictions

You may not (and may not allow others to):

  • Reverse engineer, decompile, or attempt to extract source code from the Service except where prohibited by law;
  • Circumvent or interfere with security features, usage limits, rate limits, or access controls;
  • Use the Service to violate any law or third-party rights;
  • Use the Service to transmit malware or engage in abusive, harmful, or disruptive behavior.

4.3 Fraud, abuse, and unlawful use.

You may not attempt to (a) bypass or defeat paywalls, plan limits, usage limits, rate limits, or security controls; (b) obtain Paid Features without authorization; (c) probe, scan, or test the vulnerability of our systems; (d) interfere with or disrupt the Service; or (e) use the Service for unlawful purposes.

If we reasonably believe you engaged in fraud, abuse, or unlawful use, we may suspend or terminate your access to the Service (including Paid Features) and cancel your subscription immediately. If your access is suspended or terminated due to the mentioned reasons, you acknowledge that you may forfeit some or all fees paid, and, since the service may be considered consumed, we are not necesarily required to provide a refund for the remaining subscription period, except where required by applicable law. We may also block further purchases and/or deny access to promotional pricing.

5) Your Content and Your Browser Data

5.1 Local tab/group data

To function, the extension maintains a representation of your workspaces, groups, and tabs. This can include tab URLs and titles stored locally on your device (for example, in the browser's extension storage/IndexedDB). This local storage enables features such as restoring workspaces, search, and synchronization between the sidebar and the browser state. Unless otherwise stated (check sections 6), this data will not be shared or uploaded anywhere.

5.2 Your responsibilities

You are responsible for:

  • The websites you open and organize using Uncluttr;
  • The content of any feedback messages you submit;
  • Maintaining your own backups if you rely on export/import for critical workflows.

5.3 Data integrity and recovery.

Uncluttr is designed to help you organize and restore your tabs, groups, and workspaces, and it will make reasonable efforts to preserve your data and enable recovery. However, browsers and extensions can be affected by factors outside our control (including but not limited to browser updates, crashes, storage limits, permission changes, other extensions, system settings, or website behavior).

Some features may close, suspend, hide, or reorganize tabs automatically. In some cases the Service may show a warning or require confirmation; in other cases it may act automatically based on the default configuration. As a result, tabs or websites may occasionally be closed and may not be recoverable.

You agree that you remain responsible for maintaining access to critical information (e.g., bookmarking important pages, saving work in web apps, or exporting workspaces where available) and that Uncluttr is not liable for loss of access to websites, content, or data resulting from tab closure, browser behavior, or restoration failures.

6) AI Grouping (Optional Feature)

If you choose to use AI grouping (when available), you instruct us to process certain information to generate grouping suggestions. Depending on how the feature is implemented at the time, this may include tab titles, tab URLs, and group metadata being sent from your device to our server and then forwarded to a configured AI provider to produce suggestions.

You acknowledge and agree that:

  • AI suggestions may be inaccurate, incomplete, or undesirable;
  • You remain responsible for reviewing and applying any suggestions;
  • AI features may be rate-limited, usage-limited, or plan-limited.

When you use AI grouping, relevant tab and group metadata may be transmitted to our servers and an AI provider solely to generate suggestions. We do not maintain a persistent database of your submitted tab lists for this feature; we may retain limited technical data (such as an ephemeral hash, request identifier, short-lived logs) for a short period for security, rate limiting, and abuse prevention, as described in our Privacy Policy.

7) Feedback

If you submit feedback, we may receive and process the text you provide (and, if you are signed in or include it, identifying information such as your email). We may use feedback to improve the Service, respond to you, troubleshoot, and for operational purposes. You understand that submitting feedback is voluntary. Unless we explicitly agree otherwise in writing, feedback submissions do not create any obligation for us to implement a suggestion, respond, provide compensation, or credit/recognition (including public attribution). If we choose to use or implement feedback, we may do so without restriction or obligation to you.

Do not include sensitive information in feedback that you would not want shared with support staff or service providers.

8) Subscriptions, Billing, and Paid Plans (If Offered)

If the Service offers paid plans ("Paid Features"), the following applies:

8.1 Billing

Paid Features may be offered on a subscription basis (e.g., monthly or yearly). Pricing, plan limits, and included features will be described in the Service at the time of purchase.

Payments may be processed by a third-party payment processor (e.g., Stripe). You must provide complete, accurate, and up-to-date billing and payment information, including any information required for invoicing or taxes (such as billing address). You authorize us and our payment processor to charge your selected payment method for recurring fees, taxes, and any other charges you approve at checkout.

If we discover after purchase that your billing or tax details are incomplete or inconsistent, we may contact you to request corrected information for invoicing, tax compliance, fraud prevention, or accounting purposes. Failure to provide required information may result in limitations on billing features (such as invoice issuance) and/or suspension of Paid Features where permitted by law.

8.2 Renewals and cancellation

Subscriptions renew automatically unless you cancel before the renewal time. To help ensure your cancellation is processed before a renewal charge is attempted, you should cancel at least 24 hours before the scheduled renewal date/time.

If you cancel, you will retain access to Paid Features until the end of your current billing period.

8.3 Refunds

You may contact us at contact@uncluttr.net. We may, at our discretion, consider refund requests made within a reasonable timeframe and supported by a reasonable explanation (for example, accidental duplicate charges or a technical issue that prevents access to Paid Features).

That said, except where required by applicable law, subscription fees are non-refundable. Paid Features are made available immediately upon purchase and can be used throughout the billing period; therefore, we generally do not offer refunds or credits for partial use, unused time, mistaken purchases, or cancellation after the renewal charge has been processed.

Any refunds are discretionary and do not create an obligation to provide future refunds.

8.4 Plan changes and limits

We may change Paid Features, plan limits, or pricing. If we make a price change, we will try to provide notice in advance (for example, via the Service, your account area, or email where available). Price changes will apply no earlier than your next renewal. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

Upgrades. You may be allowed to upgrade to a higher-tier plan during an active billing period. If you upgrade, we may charge you a prorated amount reflecting the price difference between plans for the remaining unused portion of your current billing period, and the new plan benefits may take effect immediately.

Downgrades. Downgrades are not supported during an active subscription term. You may cancel and re-subscribe to a lower tier at the end of your current billing period.

Grandfathered pricing. From time to time, we may introduce new pricing that applies only to new subscriptions. If you have an active paid subscription at the time a new price is introduced, we may allow you to keep your current price ("grandfathered pricing") for as long as your subscription remains continuously active and in good standing, or for a shorter, properly announced, period of time.

If your subscription is canceled, expires, is terminated, or otherwise ends, and you later re-subscribe, your new subscription will be subject to the then-current pricing. In addition, if you switch plans (including upgrading to a different tier), you may be moved to the then-current pricing for the selected plan, and grandfathered pricing (if any) may not carry over.

9) Third-Party Services

The Service may rely on third parties for specific functionality such as authentication, payments, email delivery, and AI processing. These third parties may process certain data as needed to provide their services.

Your use of third-party services may be subject to their terms and policies. We are not responsible for third-party services, outages, or acts/omissions.

10) Service Availability, Updates, and Changes

We may update or modify the Service at any time, including adding or removing features, changing behavior, or applying security updates. We do not guarantee that any feature will remain available indefinitely.

You are responsible for keeping your browser and extension updated to receive improvements and security patches.

10.1 Modifications and service availability

We may update, modify, or remove features from time to time. Some features rely on third-party services (e.g., sign-in, payments, AI providers) and may be unavailable due to outages, maintenance, or changes outside our control. We are not liable for temporary unavailability, delays, or failures caused by such interruptions, except where liability cannot be excluded under applicable law.

10.2 Corrections

We may correct typographical errors, inaccuracies, or omissions in descriptions, pricing, availability, and other information at any time, without giving notice

11) Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure;
  • Tab/group restoration will always succeed;
  • AI grouping results will be accurate or suitable for your needs.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL UNCLUTTR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
(B) 50 USD.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13) Indemnification

You agree to indemnify and hold harmless Uncluttr and its affiliates, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any law or third-party rights.

14) Termination

You may stop using the Service at any time by uninstalling the extension and ceasing use.

We may suspend or terminate your access to networked features (and/or the Service) if you violate these Terms, misuse the Service, or pose a security or legal risk.

Sections that by their nature should survive termination will survive (including disclaimers, limitation of liability, indemnification, and governing law).

15) Privacy

Our Privacy Policy explains how we collect, use, and share data, including how local tab/group data is stored on your device and what is sent to our servers for optional features (such as AI grouping, account, subscriptions, and feedback).

16) Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the "Last updated" date and, where appropriate, through the Service or website. Your continued use after changes become effective constitutes acceptance.

17) Governing Law and Dispute Resolution

These Terms are governed by the laws of Romania, excluding conflict-of-law rules.

Any disputes arising out of these Terms or the Service will be resolved in Romania, unless applicable law requires otherwise.
